Terms of Service.

HIRE WE operates as a boutique software engineering and design studio. By accessing our platform, initializing a Strategic Inquiry, or entering into an active Build engagement, you ("Partner" or "Client") agree to be bound by these Terms of Service.

Acceptance of a project is at the sole discretion of the HIRE WE studio team. Our "Architecture First" model requires a high-fidelity alignment between the partner's vision and our engineering standards. We reserve the right to decline inquiries that do not align with our technical philosophy or resource availability.

To ensure transparency and radical velocity, all HIRE WE builds are conducted using a phased milestone funding model. This protocol ensures that project momentum is maintained while providing the partner with total control over their investment.

• Milestone Initialization: Every build phase is clearly defined with a specific deliverable set, valuation, and duration in the build roadmap.
• Fulfillment Trigger: Payment for each milestone is required to trigger subsequent phases. We utilize Razorpay as our secure financial intermediary.
• Non-Refundable Delivery: Once a milestone is fulfilled and the deliverable verification is provided via the Partner Portal, the payment is non-refundable. This reflects the high-touch engineering labor and architectural deployment completed.
• Stop/Pause Protocols: Administrators may pause or resume build timers as necessary to ensure deliverable integrity. Remaining duration is tracked in real-time.

We believe in empowering our partners with the assets we build together. Our IP framework is designed for long-term growth and clarity.

Ownership Transfer: Upon the final fulfillment of all contractual payments and the completion of the "Production Launch" sequence, the specific codebase developed exclusively for the partner engagement will be licensed or transferred to the partner, as specified in the individual engagement agreement.

Studio Tooling: HIRE WE retains ownership of proprietary studio tooling, boilerplate architectures, and generic utility modules used to accelerate the build. These are provided to the partner under a non-exclusive, perpetual license for the operation of the specific project.

Software is an evolving asset. Our liability framework reflects the boutique, custom nature of our build engagements.

HIRE WE provides build services "as is" and "as available." While we commit to the highest standards of engineering excellence, we do not warrant that software will be entirely free of errors or that its operation will be uninterrupted. We provide a 30-day "Architectural Stabilization" period post-launch to address any critical bugs identified within the original scope.

In no event shall HIRE WE, its partners (including Sam Webs), or its affiliates be liable for any indirect, incidental, or consequential damages resulting from project delays, system downtime, or third-party service failures (e.g., Google Cloud or Razorpay outages).

Either party may terminate the engagement if the other party fundamentally breaches these terms. In the event of termination, the partner is responsible for fulfilling all active milestones already initialized.

These terms shall be governed by and construed in accordance with the laws of the studio's primary operating jurisdiction. Any disputes arising from these terms that cannot be resolved through strategic negotiation shall be settled through binding arbitration.
